The Website is operated by WE AS WEB S.R.L., a company registered in Romania under unique registration code (CUI) 43690516, with its registered office at Strada Fagului nr. 45/A, 400483 Cluj-Napoca, Cluj County, Romania (“WE AS WEB”, “we”, “us”, or “our”).

By using the Website, you acknowledge that you have received these Terms and agree to comply with them to the extent permitted by applicable law. If you do not agree, please do not use the Website. Nothing in these Terms constitutes consent to cookies, analytics, or personal-data processing. Those matters are governed separately by the Privacy Policy, Cookie Policy, and the choices presented through our cookie controls.

3. Purpose of the Website; no online service contract

The Website provides general information about WE AS WEB, our capabilities, services, experience, insights, and ways to contact us. It is a corporate presentation and business-development website. It does not provide user accounts, online checkout, or a customer portal.

Website content is general information only. It is not legal, regulatory, cybersecurity, financial, investment, medical, employment, or other professional advice, and it should not be relied on as a substitute for advice tailored to a specific situation.

• we are responsible only for direct loss that was reasonably foreseeable and caused by our breach of a legal duty owed to you in connection with the Website;

• nothing on the Website changes the liability allocation in a separate signed customer or supplier agreement.

If you use the Website for business purposes, you will be responsible for reasonable losses and costs we incur because of your deliberate or materially negligent unlawful use of the Website or your infringement of our or another person’s rights, to the extent permitted by law. This sentence does not apply to a consumer acting outside a trade or profession.

If you act in the course of business, the competent courts of Cluj County, Romania will have exclusive jurisdiction, unless mandatory law requires otherwise.

If you are a consumer, this choice of law and forum does not deprive you of mandatory protections available under the law of your habitual residence or of any right to bring proceedings in a court available to you under mandatory consumer-jurisdiction rules. Nothing in these Terms limits a mandatory right to complain to a competent consumer, data-protection, or other public authority.

Before starting proceedings, the parties are encouraged, but not required where urgent relief is needed, to try in good faith to resolve the matter by written notice.

14. General provisions

If a court or competent authority finds part of these Terms unlawful or unenforceable, that part will be interpreted or limited to the minimum extent necessary, and the remainder will continue to apply.

Our failure or delay in enforcing a provision is not a waiver. You may not transfer rights or obligations under these Terms without our written consent. We may transfer the operation of the Website or our rights and obligations as part of a lawful reorganization, merger, sale, or transfer of business, subject to applicable law.

These Terms, together with the Privacy Policy and Cookie Policy, govern use of the Website. They do not replace a separate signed agreement for services, employment, procurement, confidentiality, or another business relationship.

The English version is the controlling Website version unless mandatory law requires a local-language version or the parties expressly agree otherwise.
